Obligation to register the beneficial owner in the commercial register

We would like to inform you that effective from November 1, 2018, all commercial companies are obliged to register beneficial owners in the commercial register.

Existing companies are therefore obliged to submit a proposal for registration of data on the beneficial owner by December 31, 2019 at the latest.

The companies are also obliged to keep the said data in their internal directives. The data must always be up-to-date, i.e. correspond to the actual state, and must be archived for a minimum of 5 years.

In case of non-fulfillment or violation of the obligation established in this law, the financial intelligence unit may impose a fine on a natural person and legal entity, or entrepreneur, up to EUR 200,000.

In case of failure to meet the deadline for registration of the beneficial owner, or incorrect data, the company may be penalized up to EUR 3,310.
